Wholesale Terms & Conditions

Wholesale Agreement

This Wholesale Agreement ("Agreement") is entered into by and between Spearmint Ventures LLC, an Arizona limited liability company, including all affiliated brands (SIIX Collection, Phufy, and Baby’s First Hat) (collectively referred to as “SpearmintLOVE”), and you ("Retailer").

By placing a wholesale order with SpearmintLOVE, you ("Retailer") agree to the terms and conditions set forth below.

Wholesale Eligibility

Wholesale accounts are available to brick-and-mortar stores and online retailers with valid resale licenses. We reserve the right to approve or deny any wholesale application at our sole discretion.

Order Minimum

All wholesale orders are subject to a $150 minimum. SpearmintLOVE may occasionally adjust order thresholds during promotional periods at its sole discretion.

Pricing & Payments

All prices are listed in USD. Prices are subject to change without notice. Payment is due at the time of invoicing. Orders are submitted as drafts and will not be processed until payment is received. Orders will not ship until full payment has been made. We accept major credit cards and other payment methods as displayed on the invoice.

Shipping

  • Orders typically ship within 3–5 business days, unless otherwise stated.
  • Shipping costs are calculated at checkout and are the responsibility of the Retailer.
  • SpearmintLOVE is not responsible for shipping delays once the order has left our warehouse.

Backorders

Items not in stock at the time of shipping will not be backordered unless specifically requested and confirmed.

Returns & Damages

  • Claims for defective or incorrect items must be made within 7 days of receipt.
  • Wholesale merchandise may not be returned or exchanged. We only accept returns in the case of defective merchandise as noted above.
  • All claims must be submitted with photos and a description of the issue for review.

Resale Policy

  • Retailers are permitted to sell SpearmintLOVE products on their own branded websites and physical storefronts only.
  • Third-party platforms such as Amazon, eBay, Walmart Marketplace, etc. are strictly prohibited.
  • Products must be advertised at MSRP unless otherwise approved in writing during promotional windows.

Intellectual Property

All content including product names, images, descriptions, and marketing materials are the intellectual property of Spearmint Ventures LLC and may not be used without express permission.

Brand Representation

Retailers must represent the SpearmintLOVE family of brands (including SIIX Collection, Phufy, and Baby’s First Hat) accurately and professionally. Misrepresentation or unauthorized bundling with non-affiliated products may result in termination of the wholesale account.

Account Termination

SpearmintLOVE reserves the right to terminate any wholesale relationship at its discretion, without prior notice, if the Retailer violates any part of this Agreement.

Governing Law

This Agreement is governed by the laws of the State of Arizona without regard to conflict of law principles.

By placing an order, you confirm that you have read, understood, and agreed to the terms outlined above.
